5、甲方对乙方按协议产品价格及时稳定地向乙方提供货源（产品），但当市场原辅材料价格的浮动及市场竞争的变化时，甲方将提前通知乙方。未经甲方书面授权的利益及其它来源意向事宜，均作无效。6、乙方必须努力拓展销售市场，对甲方信誉负责，同步做好甲方的美誉度传播远扬。在协议生效之日的三个月内在协议规定区域建立经销网络（点）。7、乙方不得以甲方星火产品的名义出售假冒、伪劣商品，并积极配合参与公司打假。因产品确属质量问题，允许以货换货，运费甲方承担。

5. 8、订货：甲方提供“订货单”，乙方每次订货应使用甲方“订货单”，并详细填写产品编号、系列、型号及数量（包括临时增加计划），然后传真至甲方指定部门或人员，（不接受电话订单）。甲方可按乙方制定的运输线，负责代办托运，运费乙方承担。9、结算方式：乙方需先汇全货款至甲方财务验资后发货。（1）、现金（甲方特别授权）（2）、银行汇票（3）、银行电汇（4）邮局电汇。10、本协议签字生效，协议期内，乙方必须接受甲方统一的表格和计划管理。协议结束后， 同等条件下乙方有优先权续签。

8. 11、本协议未尽事宜双方友好协商解决，补充协议书同本协议具有同等法律效力。任何一方违约，另一方都有权追究对方的违约责任，双方若发生纠纷或遇不可抗因素事宜，应首先通过协商友好解决。12、本合同签定之时，乙方预付1000元市场保证金，可充抵首批货款，首批提货根据提产品不得低于3万元货款。

11.
