中英文版电器销售合同

甲方：山东省茌平星火集团公司乙方：　　　　　　　　　　　　　　　　甲乙双方根据中华人民共和国有关政策法规，本着平等自愿、互惠互利和共同发展的原则，经友好协商，就星火集团的所有产品经销事宜制订本协议，协议条款具体如下：1、甲方选择乙方作为甲方产品在（地区）的区域代理商，经销期为十二个月，期满后双方满意可续签协议。2、甲方对产品质量负责，向乙方提供的所有产品均符国家行业标准。

Sale contract:

3、甲方根据销售政策向乙方提供有关产品技术资料和宣传资料、乙方不得随意修改甲方公司和产品的销售形象，信息发布内容必须事先经过甲方审核。4、在协议有效期间，甲方将维护乙方的经销权，乙方在努力拓展本市、本地区销售市场的网络群体客户，且能完成各时期的销售指标，资信良好，网络客户协调和谐正常。

3. Side A according to sells the policy provides concerned product technical data and propaganda material and side B and must not revise the sale of side A company and the product image at will to side B, and the information is issued the content and must be passed side A in advance and examine.4. Side A will safeguard the selling on commission power of side B, and side B is expanding this market and this district cross-domain communication colony customer who sells the market hard in 4, effective time in the agreement, just can accomplish the sale quota of each particular period, the money letter is good, the harmonious normality of cross-domain communication customer coordination.

5、甲方对乙方按协议产品价格及时稳定地向乙方提供货源（产品），但当市场原辅材料价格的浮动及市场竞争的变化时，甲方将提前通知乙方。未经甲方书面授权的利益及其它来源意向事宜，均作无效。6、乙方必须努力拓展销售市场，对甲方信誉负责，同步做好甲方的美誉度传播远扬。在协议生效之日的三个月内在协议规定区域建立经销网络（点）。7、乙方不得以甲方星火产品的名义出售假冒、伪劣商品，并积极配合参与公司打假。因产品确属质量问题，允许以货换货，运费甲方承担。

5. Side B must not with side A spark product nominal sells and passes oneself off as and the false inferior commodity, positively the vacation is beaten in the cooperation participation company. Because of the true category quality question of product, permitting to exchange goods with goods, side A undertakes the transportation expenses.

8、订货：甲方提供“订货单”，乙方每次订货应使用甲方“订货单”，并详细填写产品编号、系列、型号及数量（包括临时增加计划），然后传真至甲方指定部门或人员，（不接受电话订单）。甲方可按乙方制定的运输线，负责代办托运，运费乙方承担。9、结算方式：乙方需先汇全货款至甲方财务验资后发货。（1）、现金（甲方特别授权）（2）、银行汇票（3）、银行电汇（4）邮局电汇。10、本协议签字生效，协议期内，乙方必须接受甲方统一的表格和计划管理。协议结束后， 同等条件下乙方有优先权续签。

8. Ordering goods: side A provides " order form ", and side B orders goods every time and should use side A's " order form ", and detailedly fills in product number, series, model and quantity ( including increases the plan at the time when something is needed or is expected to happen ), then the facsimile appoints department or personnel, ( not accepting the telephone order for goods ) to side A. Being responsible for acting on behalf consigning for shipment, side B undertakes the transportation expenses supply line that side A can lay down according to side B.

9. Settle accounts the method: side B need converge first that the full money for buying or selling goods delivers goods to side A's financial affairs are examined money.

10. This agreement is signed going into effect, and the agreement is inside phase, and side B must accept table and program management that side A unifies. After the agreement finishes, side B has the continuous bamboo slips of priority under the equal condition.

11、本协议未尽事宜双方友好协商解决，补充协议书同本协议具有同等法律效力。任何一方违约，另一方都有权追究对方的违约责任，双方若发生纠纷或遇不可抗因素事宜，应首先通过协商友好解决。12、本合同签定之时，乙方预付1000元市场保证金，可充抵首批货款，首批提货根据提产品不得低于3万元货款。

11. Any one side breaks a contract, and another side all has power to look into the violation of a contract duty of the other side, and both sides cannot resist the factor matters concerned as if occurring dispute or meeting, and should firstly pass through consulting close friend's settlement.
